TipFlick

1. Description of Service

TipFlick ("Service", "We", "Us", or "Our") provides a Software-as-a-Service (SaaS) platform that enables service workers (including but not limited to barbers, nail technicians, stylists, and other professionals) to create personalized tipping pages with QR codes. Customers scan these QR codes to tip service workers via Stripe, rate their experience, and access customer feedback.

TipFlick operates under a tiered subscription model (Free, Pro, Gold, Diamond). Free-tier users may be subject to an optional 5% platform fee on tips received. All payment processing is performed by Stripe Connect, and TipFlick does not process, hold, or control any funds.

2. Account Registration & Eligibility

To use TipFlick, you must:

• Be at least 18 years old (or the legal age of majority in your jurisdiction)
• Have a valid email address and verifiable identity
• Have a legitimate Stripe Connect account in good standing
• Comply with all applicable laws and regulations in your jurisdiction
• Not have been previously terminated from TipFlick or similar services

By registering, you represent and warrant that all information you provide is accurate, complete, and truthful. You are responsible for maintaining the confidentiality of your account credentials.

3. Payment Terms & Financial Responsibility

Critical: TipFlick does not process, hold, or route any customer funds. All payment transactions are processed directly by Stripe Connect. Here's what this means:

• Payment Processing: Customer funds are transferred directly from customers to your Stripe Connect account.
• Platform Fees: Free-tier users may be charged an optional 5% platform fee, which is deducted by Stripe on your behalf.
• Subscription Fees: Subscription fees for Pro, Gold, and Diamond tiers are billed monthly via your connected payment method.
• No Escrow: TipFlick does not hold customer funds, act as an intermediary, or provide escrow services.
• Bank Details: Your banking information is securely managed by Stripe Connect. TipFlick never accesses or stores your bank details.

You are solely responsible for all taxes, regulatory compliance, and financial obligations in your jurisdiction. Stripe may provide 1099-K or equivalent tax documentation directly to you.

4. Acceptable Use Policy

You agree NOT to use TipFlick for any unlawful, fraudulent, or harmful purposes. Prohibited activities include but are not limited to:

• Facilitating illegal transactions or services
• Creating fake reviews or manipulating ratings
• Harassment, defamation, or abusive behavior toward customers
• Attempting to circumvent TipFlick's security, features, or payment processing
• Misrepresenting your identity, qualifications, or services
• Violating Stripe's Acceptable Use Policy
• Using TipFlick for money laundering, fraud, or sanctions evasion
• Spamming, phishing, or distributing malware
• Violating intellectual property rights

TipFlick reserves the right to investigate suspected violations and suspend or terminate accounts at our discretion.

5. Intellectual Property Rights

TipFlick retains all intellectual property rights to our platform, including its design, code, features, and branding. Your use of TipFlick is strictly limited to personal or business use in accordance with these terms.

You retain all rights to the content you create on your TipFlick page (e.g., business name, description, photos). However, you grant TipFlick a worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating the Service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: TipFlick is provided "as-is" without warranties of any kind, express or implied. TipFlick is not liable for:

• Loss of income or business opportunities
• Payment processing errors or failures (these are Stripe's responsibility)
• Data loss, corruption, or unauthorized access
• Interruptions, downtime, or service unavailability
• Third-party actions (including customer disputes or chargebacks)
• Indirect, incidental, consequential, or punitive damages

TipFlick's total liability to you shall not exceed the fees you paid to TipFlick in the 12 months preceding the claim.

7. Termination

TipFlick may suspend or terminate your account at any time without notice if you:

• Violate these Terms of Service
• Breach Stripe Connect's terms or acceptable use policy
• Engage in fraudulent, illegal, or harmful activity
• Have multiple chargebacks or payment disputes
• Request termination of your account

Upon termination, you lose access to your TipFlick page and features. Your data may be retained as required by law. Stripe maintains control of all funds in your Stripe Connect account.

8. Third-Party Services

TipFlick integrates with third-party services including:

• Stripe Connect: Payment processing and fund management. By using TipFlick, you agree to Stripe's Connected Account Agreement and Acceptable Use Policy.
• Supabase (PostgreSQL): Data storage and backend infrastructure.
• Google Places API: Location and business information services.

We are not responsible for these services' availability, security, or policies. Please review their terms separately.

9. Data & Privacy

TipFlick collects and stores: email addresses, names, ratings, customer feedback, and page view analytics. We do NOT collect or store payment card data or bank details (Stripe handles this). For complete information, please review our Privacy Policy.

10. Dispute Resolution

For disputes related to payment processing, chargebacks, or funds held in your Stripe account, you must contact Stripe directly. TipFlick is not a party to payment disputes and cannot intervene in Stripe's chargeback or fund management processes.

For disputes related to TipFlick's service, you may contact us at the information below. We will attempt good-faith resolution. If unresolved, disputes may be escalated to binding arbitration in accordance with applicable law.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the federal and state courts located in Delaware.

12. Changes to Terms

TipFlick reserves the right to modify these Terms of Service at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of TipFlick constitutes acceptance of updated terms.

13. Severability

If any portion of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
